Resumen
The study analyzed how Mergers and Acquisitions (M&A) impact market competition, highlighting both their benefits and risks. These operations allow companies to expand and become more efficient but may also lead to harmful concentrations of power if not properly regulated. In developed countries such as the United States and members of the European Union, there are strict legal frameworks — such as the Hart-Scott-Rodino Act and the EU Merger Regulation — that require prior review to prevent monopolies and protect consumers. In contrast, in developing economies like Peru, regulation is more recent. Emergency Decree No. 013-2019 establishes a preventive control mechanism, although its effective implementation faces challenges due to limited resources and institutional experience. A comparative regulatory review was carried out, concluding that an effective M&A control system is essential to maintain competitive markets by balancing business efficiency with consumer protection and free competition.
